The Corporate Sustainability Reporting Directive (CSRD) is a new European Union (EU) regulation that aims to strengthen the disclosure of environmental, social and governance information by companies. To this end, new obligations are established for the disclosure of non-financial information under the European Sustainability Reporting Standards (“ESRS”), developed by the European Financial Reporting Advisory Group (“EFRAG”).
This new regulation will replace the Non-Financial Reporting Directive 2023/34 and will mark a before and after in the era of reporting and sustainable management of companies.
Where does this new regulation fit in?
Since 2015, when the Paris Agreement was approved and the EU 2030 Climate Agenda was adopted, legislative development has not stopped advancing. The European Union (EU) has been working on the development of the CSRD and on the development of other regulations to accelerate the transition towards a sustainable economy and limit global warming to 1.5 °C. In this way, it seeks to meet the objective of achieving climate neutrality by 2050, in line with the Paris Agreement and the EU Green Deal.
Who is affected?
The EU has defined a phased implementation taking into account the type of company, its size and geographical location and with the implementation of the CSRD, it is expected that around 50,000 companies will have to comply with these non-financial information requirements from 2024 to 2028.
The CSRD applies to all large companies established in an EU Member State or governed by EU law, including those already governed by the NFRD. These companies would include both SMEs and large public interest entities.
The Directive considers a large company to be one that meets at least two of the following criteria:
- Net revenues of €40 million.
- Total assets on the balance sheet of €20 million.
- A minimum of 250 employees.
It also applies to publicly traded companies in Europe (except micro-enterprises) and global companies with operations or securities listed on regulated markets in the EU.
